Terms and Conditions of Sale

These terms govern commercial relations between OctoMind and its clients.

1. Purpose

These General Terms and Conditions of Sale (T&C) define the rights and obligations of the parties within the framework of the digital services provided by OctoMind (hereinafter "the Provider") to its clients (hereinafter "the Client").

2. Services offered

The Provider offers the following services:

  • Business workflow automation (inter-tool connections, API integrations)
  • Development of custom AI agents and chatbots
  • Website creation (landing page, showcase site, e-commerce)
  • Consulting and training on automation

3. Order and validation

3.1. The Client chooses the pack corresponding to their needs on the site and proceeds with payment via the secure Stripe platform.

3.2. After payment, the Client receives a confirmation email containing a brief form to complete.

3.3. The contract is definitively concluded after validation of the brief by the Provider and confirmation by email.

4. Prices and payment

4.1. Prices are indicated in euros, all taxes included, on the site. Any third-party tool costs (hosting, APIs, licenses) are payable by the Client.

4.2. Accepted payment methods:

  • Credit card via Stripe
  • Bank transfer (on request for major projects)

4.3. Payment schedule:

  • Small projects: single payment or 50/50
  • Medium projects: 30/40/30 or 50/50
  • Large projects: custom schedule possible

5. Delivery times

5.1. Delivery times are indicated on each product sheet and start from the validation of the brief.

5.2. The Provider commits to respecting announced deadlines. In case of delay caused by it, compensation is offered (support extension, discount on next project, etc.).

5.3. Deadlines may be extended in case of force majeure or delay attributable to the Client (non-response to requests, scope modifications, etc.).

6. Delivery procedure

6.1. The Provider makes a staging environment available to follow progress.

6.2. At the end of development, the Client has 7 days to test the deliverable and request corrections if it doesn't match the validated brief.

6.3. After this period without complaint, the project is considered accepted and final delivery is performed (production launch, source code transfer).

7. Revisions and modifications

7.1. Packs include a defined number of revisions (generally 2) before final delivery.

7.2. Any modification requested after validation of the brief and resulting in significant workload requires an additional quote.

7.3. "Scope creep" (unforeseen scope extensions) is billed hourly or via an evolution pack — a quote is submitted before any additional work.

8. Intellectual property

8.1. The source code developed specifically for the Client is fully assigned to them after full payment.

8.2. The Provider uses open-source frameworks and third-party licensed components. The Client respects the licenses of these components.

8.3. The Provider may use elements of the project (anonymized screenshots, technical descriptions) for its portfolio, unless expressly requested otherwise by the Client.

9. Warranties and support

9.1. The Provider guarantees the proper functioning of the deliverable in accordance with the validated brief for a period defined in the pack (30 to 90 days depending on the offer).

9.2. This warranty covers bugs and malfunctions not attributable to the Client or to post-delivery modifications.

9.3. Post-warranty support may be subject to a subscription or hourly billing.

10. Liability

The Provider's liability is limited to the total amount of the contract. The Provider cannot be held responsible for indirect damages, data loss, or financial loss resulting from the use of the delivered services.

11. Termination

11.1. Before development starts: full refund.

11.2. During development: prorated refund based on remaining progress.

11.3. After delivery: no refund unless major unresolved malfunction within 30 days.

12. Mediation

In case of dispute, the parties commit to seeking an amicable solution before any legal action. Failing amicable agreement, the dispute will be brought before the courts of the Provider's registered office.

13. Modification of T&C

These T&C may be modified at any time. The applicable T&C are those in force at the date of the order.
